Terms and Conditions

1 Introduction and Acceptance

Welcome to HungryBee POS ("Software", "Application", "Product"). This Terms and Conditions agreement ("Agreement", "Terms") constitutes a legally binding contract between you ("User", "Customer", "You", "Your") and the entities responsible for the development, distribution, and marketing of this Software.

By downloading, installing, accessing, or using HungryBee POS, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you must immediately cease using the Software and uninstall it from all devices.

IMPORTANT: Your continued use of HungryBee POS constitutes your acceptance of these terms. We reserve the right to modify, amend, or update these Terms at any time without prior notice.

Caselgrid Pvt. Ltd. ("Caselgrid") is the sole owner of all intellectual property rights, source code, design assets, trademarks, and associated materials related to HungryBee POS. GSW InfoTech operates as the authorized marketing and distribution partner under a formal licensing agreement with Caselgrid.

3 Beta Testing Phase

⚠️ BETA SOFTWARE NOTICE: HungryBee POS is currently in its BETA TESTING phase. This means the Software is still under active development and testing.

As a beta product, you acknowledge and agree to the following:

  • The Software may contain bugs, errors, defects, or incomplete features that could affect its performance, reliability, or functionality.
  • Features currently available may be modified, removed, replaced, or deprecated without prior notice or compensation.
  • New features may be added, tested, or rolled out to selected users at our discretion.
  • The user interface, user experience, and overall design may change significantly between updates.
  • Performance benchmarks and system requirements may vary as the Software evolves.
  • We may introduce experimental features that could affect existing functionality.
  • The pricing model, licensing terms, or subscription requirements may change upon official release.
  • Beta users may or may not receive preferential treatment or pricing upon full release.

3.1 Beta Participation

Your participation in the beta testing phase is voluntary. By using the beta version, you agree to:

  • Report any bugs, errors, or issues you encounter to help improve the Software.
  • Provide constructive feedback when requested.
  • Understand that support may be limited during the beta phase.
  • Accept that some features may not work as expected or documented.
  • Not hold the Companies liable for any losses arising from beta software usage.

4 Reservation of Rights

Caselgrid Pvt. Ltd. and GSW InfoTech expressly reserve the following rights, which may be exercised at any time and at our sole discretion:

4.1 Software Modification Rights

  • Add, modify, remove, or disable any feature, functionality, or component of the Software.
  • Change the user interface, design, workflow, or user experience without prior notice.
  • Alter the technical architecture, underlying technology, or system requirements.
  • Introduce, modify, or remove integrations with third-party services or APIs.
  • Update, patch, or rollback any version of the Software.
  • Discontinue development, support, or distribution of the Software entirely.

4.2 Business and Operational Rights

  • Modify pricing structures, payment terms, or introduce subscription models.
  • Change the licensing model from free to paid or vice versa.
  • Limit the number of devices, users, or installations per license.
  • Introduce usage limits, quotas, or fair use policies.
  • Require registration, authentication, or online activation.
  • Collect anonymous usage statistics for product improvement (without personal data).
  • Partner with additional marketing or distribution channels.
  • Transfer ownership, licensing rights, or business operations to another entity.

5 Data Storage and Privacy

LOCAL DATA STORAGE: HungryBee POS operates entirely on your local machine. We do NOT collect, store, transmit, or have access to your business data.

5.1 Your Data Responsibility

You acknowledge and accept full responsibility for:

  • Data Storage: All restaurant data, including orders, menu items, inventory records, customer information, and financial data, is stored locally on your device's storage (hard drive, SSD, etc.).
  • Data Backup: Creating regular backups of your data is YOUR sole responsibility. We strongly recommend implementing a robust backup strategy.
  • Data Recovery: In the event of hardware failure, software corruption, accidental deletion, malware infection, or any other data loss event, WE DO NOT HAVE ACCESS TO OR BACKUP OF YOUR DATA.
  • Data Security: Implementing appropriate security measures to protect your device and data from unauthorized access, theft, or cyber threats.
  • Data Integrity: Ensuring the accuracy and integrity of the data you input into the Software.

5.2 No Data Recovery Services

We explicitly disclaim any ability or obligation to:

  • Recover lost, deleted, or corrupted data under any circumstances.
  • Provide data recovery services or referrals.
  • Compensate for any losses resulting from data loss.
  • Maintain any remote copies or backups of your data.
  • Access your data for support or troubleshooting purposes.

5.3 Data Portability

The Software provides export functionality allowing you to export your data in standard formats. You are encouraged to regularly export and backup your data to external storage devices, cloud storage services, or other backup solutions of your choice.

6 License Grant and Restrictions

Subject to your compliance with these Terms, Caselgrid Pvt. Ltd. grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the Software on devices you own or control.
  • Use the Software for personal or commercial purposes related to restaurant/hospitality management.
  • Create data backups and exports as provided by the Software's features.

6.1 License Restrictions

You expressly agree NOT to:

  • Copy, reproduce, duplicate, or mirror the Software or its installation files for distribution.
  • Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software.
  • Attempt to extract the source code, algorithms, or proprietary logic from the Software.
  • Remove, alter, or obscure any copyright notices, trademarks, or proprietary labels.
  • Create derivative works, plugins, extensions, or modifications without written authorization.
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the Software to third parties.
  • Use the Software for any illegal, fraudulent, or unauthorized purpose.
  • Bypass, disable, or circumvent any licensing, activation, or security mechanisms.
  • Use the Software in a manner that infringes upon any third-party intellectual property rights.
  • Benchmark, test, or publish performance comparisons without written consent.
  • Use automated tools to interact with the Software beyond its intended functionality.

7 License Termination and Cancellation

⚠️ IMPORTANT: We reserve the absolute right to terminate, suspend, or cancel your license at any time, for any reason, with or without prior notice.

7.1 Grounds for License Cancellation

Your license may be terminated immediately if we determine, at our sole discretion, that:

  • You have violated any provision of these Terms and Conditions.
  • You have engaged in activities that are harmful to our business interests or reputation.
  • You have provided false, misleading, or incomplete information during registration or licensing.
  • Your use of the Software poses security risks or threatens system integrity.
  • You have attempted to bypass, circumvent, or exploit licensing mechanisms.
  • You have engaged in unauthorized distribution, sharing, or reselling of the Software.
  • You have modified, reverse-engineered, or tampered with the Software.
  • Your business practices conflict with our values, policies, or legal requirements.
  • We receive credible complaints or reports regarding your use of the Software.
  • Your license is associated with fraudulent transactions or payment disputes.
  • We suspect any activity that we deem unfavorable to our business interests.
  • Continued provision of service to you is not feasible or economically viable.
  • Changes in law, regulations, or business circumstances necessitate termination.

7.2 Effects of Termination

Upon termination of your license:

  • Your right to use the Software ceases immediately.
  • You must uninstall and delete all copies of the Software from your devices.
  • You remain responsible for backing up your data before termination.
  • We are not obligated to provide any transition assistance or data migration support.
  • Any fees paid are generally non-refundable unless otherwise required by law.
  • Provisions regarding intellectual property, liability limitations, and dispute resolution survive termination.

8 Intellectual Property Rights

All intellectual property rights in and to HungryBee POS are owned exclusively by Caselgrid Pvt. Ltd. This includes, but is not limited to:

  • Source code, object code, and all software components.
  • User interface designs, graphics, icons, and visual elements.
  • Logos, trademarks, service marks, and brand identities.
  • Documentation, help files, and instructional materials.
  • Database schemas, data structures, and algorithms.
  • APIs, integrations, and connectivity features.
  • Any updates, upgrades, patches, or enhancements to the Software.

9 Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
  • WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
  • WARRANTIES THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
  • WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS OF RESULTS.
  • WARRANTIES REGARDING SECURITY, SAFETY, OR PERFORMANCE.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CASELGRID PVT. LTD., GSW INFOTECH, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, business, or anticipated savings.
  • Loss of data, goodwill, or business interruption.
  • Damages arising from unauthorized access to or alteration of your data.
  • Damages arising from any bugs, errors, or defects in the Software.
  • Damages arising from third-party actions or content.

11 Indemnification

You agree to indemnify, defend, and hold harmless Caselgrid Pvt. Ltd., GSW InfoTech, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Software.
  • Your violation of these Terms and Conditions.
  • Your violation of any applicable laws or regulations.
  • Your infringement of any third-party rights.
  • Any content or data you input, store, or transmit using the Software.

12 Updates and Support

We may, but are not obligated to:

  • Provide updates, upgrades, bug fixes, or security patches.
  • Offer technical support, documentation, or training materials.
  • Respond to support requests or inquiries.
  • Maintain compatibility with specific operating systems or hardware.

13 Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

14 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15 Entire Agreement

These Terms and Conditions, together with the License Agreement and Privacy Policy, constitute the entire agreement between you and the Companies regarding your use of HungryBee POS. This Agreement supersedes all prior or contemporaneous communications, proposals, and representations with respect to the Software.
